1. About PriceWise
PriceWise™ ("PriceWise", "we", "us") is an online marketplace operated by EcoFlare Solutions Inc. ("EcoFlare"), 185 The West Mall, Suite 905, Etobicoke, ON M9C 5L5, Canada. It connects Canadian farms and producers ("Farms" or "Sellers") with individual buyers (B2C), business buyers (B2B) and independent transporters.
These Terms of Service ("Terms") apply to the website, the marketplace and every related service. Specific agreements made on PriceWise — such as an order or a signed PriceWise™ contract — also bind the parties to them.
2. Accounts & eligibility
- You must be at least 18 years old and able to enter into a binding contract. If you register for a business, you confirm you are authorised to act for it.
- Each account has one role: buyer (individual or business), farm (seller) or transporter. Individual buyer accounts are active straight away. Farm, transporter and business buyer accounts are reviewed and approved by EcoFlare before they can trade; we may ask for documents and may refuse an application.
- The information you give us must be true, complete and kept up to date. You are responsible for keeping your password secret and for everything done through your account. Tell us immediately at info@ecoflaresolutions.com if you suspect misuse.
3. Our role as a marketplace
Produce on PriceWise is sold by the Farm named on the listing, not by EcoFlare. The contract of sale is between the buyer and the Farm. Transport booked through PriceWise is a service provided by the independent transporter named on the booking. EcoFlare provides the platform, collects payments on behalf of the parties, keeps records (including the PriceWise™ contract ledger) and helps resolve problems, but is not the producer, carrier, insurer or guarantor of any produce.
Farms are responsible for the produce they list: its grade, quality, quantity, labelling, food safety and compliance with Canadian law, including Canadian Food Inspection Agency (CFIA) grade standards where they apply. Grades shown as "self-declared" are stated by the Farm.
4. Buying produce
- Listings show the price per unit and, where offered, a price per Canadian grade. An order is placed when payment succeeds; we confirm it by email. Each Farm in your cart receives its own order.
- Stock is reserved while you pay. Unpaid checkouts are released after 30 minutes.
- A Farm may cancel an order before it is dispatched; you then receive a full refund.
- Business buyers may also post produce requests and negotiate prices with Farms (see sections 6 and 11).
5. Prices, fees & payments
- All prices are in Canadian dollars (CAD). Fresh fruit and vegetables are generally zero-rated (0%) under GST/HST; where tax applies it is shown at checkout.
- Card processing fee: buyers pay the card processing cost of 2.9% + $0.30 on each payment, shown before you pay. This fee is passed to the payment processor and is generally not refundable.
- Commission: EcoFlare keeps a commission from the Farm's share of each sale — 1% on individual (B2C) orders and 2% on business (B2B) orders. Buyers do not pay the commission.
- Payments are processed by Stripe. Card details are entered on Stripe's secure page and are never stored by PriceWise. Stripe's own terms also apply.
- No escrow: the Farm's share of a payment is transferred to its Stripe account as soon as the payment succeeds. Refunds approved later are recovered from the Farm (see section 8).
6. Pre-orders & PriceWise contracts
- Pre-orders reserve an upcoming harvest at a locked price. The buyer pays an advance (normally 30%) when ordering. When the Farm marks the harvest ready, the balance is due within 7 days and must be paid before dispatch. If the balance is not paid in time, EcoFlare reviews the case and decides how the advance is handled.
- Negotiations between business buyers and Farms are recorded offer by offer. When an offer is accepted, a PriceWise™ contract is generated from the agreed terms. Each party signs it by typing their name; a typed signature is binding.
- The signed terms are fingerprinted and each step (signatures, payments, dispatch, delivery, disputes, completion) is written to a tamper-evident ledger that anyone with the contract's verification link can check. Prices are not shown on the public verification page.
- A contract can only be changed by both parties agreeing to new terms. EcoFlare may cancel a contract that breaches these Terms or the law.
7. Delivery & pickup
- Orders are either delivered (by the Farm or a transporter booked through PriceWise) or collected by the buyer with their own transport, as chosen at checkout.
- Delivery windows are estimates agreed with the Farm. Risk in the produce passes to the buyer on delivery, or when the buyer or their carrier collects it.
- When a Farm books a transporter through PriceWise, the agreed transport price is deducted from the Farm's payout and paid to the transporter after delivery.
8. Problems, disputes & refunds
- Buyers must report a problem (for example damaged, missing or lower-grade produce) within 24 hours of delivery, from the order page, with photos where possible. If nothing is reported, the order completes automatically.
- Reporting a problem opens a dispute. The Farm has 48 hours to give its side. EcoFlare then reviews the evidence from both sides and decides: a full refund, a partial refund, or no refund. Our decision on the platform is final, without affecting any rights you have under law.
- Refunds are returned to the original card and usually appear within 5–10 business days. The refunded amount is recovered from the Farm's payout for that order (or from its future payouts). Card processing fees are generally not refunded.
9. Rules for farms (sellers)
- List only produce you own or are authorised to sell and can actually supply in the quantity, grade and timeframe shown. Keep stock, prices and harvest dates up to date. New listings and major changes are reviewed by EcoFlare before they go live.
- Photos and descriptions must show the actual produce honestly. Grades must follow Canadian grade standards.
- Connect a Stripe account to receive payouts and keep it in good standing. You are responsible for your own taxes, licences, food-safety obligations and insurance.
- Prepare, dispatch (or hand over for pickup) and mark orders on time, and answer disputes within the response window.
10. Rules for transporters
- Quote only for loads you can carry legally and safely, with suitable vehicles (including refrigeration where requested), valid licences and insurance.
- Update the shipment status honestly (picked up, in transit, delivered) and provide proof of delivery when asked.
- You are paid the booked price through your connected Stripe account after delivery. You are responsible for your own taxes.
11. Business plans (subscriptions)
- Business buyers can buy listed produce without a plan. Posting produce requests and negotiating require a monthly plan: Basic ($19.99/month, 1 open negotiation), Standard ($29.99/month, 3 open negotiations), Premium ($49.99/month, 10 open negotiations). The monthly charge includes the card processing fee and is shown before you subscribe.
- Plans renew automatically every month until cancelled. You can cancel any time from "My Plan"; you keep the plan until the end of the period already paid, and no partial refunds are given for unused time.
- Upgrades take effect immediately and you pay the difference for the rest of the current month. Downgrades take effect at the next renewal.
- If a renewal payment fails, the plan's benefits continue for 3 days and then end unless payment is made. Features marked "coming soon" are not yet included.
12. Ratings & reviews
- Buyers can rate a Farm after a completed order, and Farms can rate a transporter after a delivery. Reviews must be honest, based on your own experience, and free of abuse, personal information and advertising.
- The rated party may post one public reply. EcoFlare may hide reviews that break these rules; hidden reviews do not count towards ratings. Offering rewards for reviews is not allowed.
13. Acceptable use
You must not: break any law; misrepresent produce, grades or your identity; trade outside PriceWise with a counterparty you met here to avoid fees; interfere with the site's security or other users' accounts; scrape or copy the marketplace with automated tools; upload malware or illegal content; or harass other users. We may remove content and limit accounts that do.
14. Content & intellectual property
The PriceWise™ and EcoFlare names, logos and the platform belong to EcoFlare. You keep ownership of the photos and text you upload, and you give EcoFlare a non-exclusive, royalty-free licence to host, display and use them to operate and promote the marketplace while they are on PriceWise. You confirm you have the right to upload them.
15. Disclaimers & limitation of liability
The platform is provided "as is". We work to keep it available and accurate but do not guarantee it will be uninterrupted or error-free, and we do not guarantee any Farm's produce or any transporter's service. To the extent permitted by law, EcoFlare is not liable for indirect or consequential losses (such as lost profits or spoiled stock), and EcoFlare's total liability for any claim relating to an order is limited to the fees EcoFlare received for that order. Nothing in these Terms limits rights that cannot be limited under applicable consumer protection law.
You agree to indemnify EcoFlare against claims caused by your breach of these Terms or the law, or by produce or services you supply.
16. Suspension & closing accounts
You can stop using PriceWise at any time; contact us to close your account. We may suspend or close an account, or remove listings, if these Terms are breached, if we are required to by law, or to protect users. Orders, contracts, disputes and payments already in progress continue to be handled, and records we must keep by law are retained (see our Privacy Policy).
17. Governing law & changes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, and the courts of Ontario have jurisdiction, unless the consumer protection law of your province gives you the right to bring a claim where you live. We may update these Terms; we will post the new version here with a new "last updated" date and tell registered users about important changes by email. Continuing to use PriceWise after a change means you accept it.
